Upload the Contract to Review

Submit the contract file into the Harvey system to begin analysis.

Go to the Contract Review module, upload the contract file in PDF or Word format that needs to be checked.

Ensure the contract file can extract text (not a scanned image) for accurate analysis.

Select Standard Playbook or Checklist

Apply the internal standard clause set of the legal office during the review.

Select the pre-established playbook (e.g., indemnity clause standard, liability limitation) for Harvey to cross-reference with the contract.

Regularly update the playbook when the legal office changes its standard viewpoint on a type of clause.

Run Clause Comparison

Allow Harvey to automatically cross-reference each clause in the contract with the playbook.

Click Run Analysis, wait for the system to scan the entire contract and flag non-standard clauses.

For long contracts, run the analysis by sections (chapters) for easier tracking of results.

Review Flagged Risk Clauses

Assess the severity of each clause flagged by Harvey.

Open each flagged clause, read the explanation of the risk reason, and the corresponding standard clause in the playbook.

Prioritize carefully reviewing clauses related to indemnification, contract termination, and confidentiality.

Create Redline Proposal

Generate suggested edits for clauses to send back to the negotiating partner.

Use Harvey's redline suggestion feature to create a proposal for amendments to high-risk clauses.

The responsible lawyer should review and adjust the redline wording before officially sending it to the partner.

Forward for Final Approval from Senior Lawyer

Ensure there is a final human check before completion.

Send the analysis report and redline proposal to a senior lawyer for review and approval before sending it to the client or partner.

Always consider Harvey's results as an initial screening step, not a complete replacement for a qualified lawyer's assessment.
